Seller Agreement
Attorney review pending. This agreement is the working contract for software vendors listing products on BoxedBots.
1. Seller authority
You represent that you have authority to enter this Agreement and all rights necessary to develop, license, market and distribute every product you list. You are responsible for your employees, contractors and accounts.
2. Product rights and legality
You warrant that your products, listings, names, media and documentation do not knowingly infringe intellectual-property, privacy, publicity or other rights; do not contain stolen or unauthorized code; and comply with applicable law. You will maintain all third-party and open-source licenses required for your product.
3. Security and prohibited software
You may not list malware, spyware, credential stealers, ransomware, undisclosed surveillance, destructive code, deceptive installers or products primarily intended for unauthorized access or harm. You must disclose material permissions, data collection and external dependencies. BoxedBots may scan, test, quarantine, suspend or remove products when security or integrity is in question.
4. Accurate listings
Listings must accurately describe material features, limitations, prerequisites, pricing, billing frequency, support, compatibility and delivery method. Screenshots, comparisons and performance claims must not be materially misleading. If a material claim becomes inaccurate, you must promptly correct it.
5. Customer licenses and support
You must honor licenses, access periods, support commitments and refund promises shown at purchase. You may maintain your own end-user license terms so long as they do not conflict with BoxedBots marketplace requirements or applicable law.
6. Marketplace license to BoxedBots
You grant BoxedBots a worldwide, non-exclusive, royalty-free license during your participation to host, reproduce, display, test, demonstrate, market, distribute or facilitate access to your listing materials and products as reasonably necessary to operate and promote the marketplace and fulfill customer transactions.
7. Fees, payments, taxes and reserves
Seller fees, commissions, payout timing and payment terms will be disclosed in the seller dashboard or applicable fee schedule before paid listings begin. BoxedBots may withhold or reserve amounts reasonably necessary for refunds, chargebacks, fraud, legal obligations or disputed transactions. Sellers are responsible for taxes imposed on their business or proceeds except taxes BoxedBots is legally required to collect or remit.
8. Refunds, chargebacks and customer disputes
You authorize BoxedBots to administer the Refund & Marketplace Policy and to deduct seller-funded refunds, chargebacks, reversals and associated amounts when attributable to your product, conduct or promises, subject to applicable law and payment rules.
9. Indemnification
To the maximum extent permitted by law, you will defend, indemnify and hold harmless BoxedBots and its owners, affiliates, employees and agents from third-party claims, damages, losses and reasonable costs arising from your product, listing, infringement or misappropriation of third-party rights, security or privacy violations, unlawful conduct, breach of this Agreement, or taxes and obligations for which you are responsible.
10. Suspension and termination
BoxedBots may suspend or remove a product or seller for credible security concerns, infringement claims, fraud, repeated customer harm, material misrepresentation, legal requirements, nonpayment or material breach. When practical, BoxedBots may allow an opportunity to cure. Immediate action may be taken where users, systems or legal rights are at risk.
11. No exclusivity
Unless separately agreed in writing, this Agreement is non-exclusive. You may sell elsewhere, and BoxedBots may list competing products.
12. Confidential and marketplace information
Seller access to nonpublic BoxedBots information, customer data and aggregate demand tools must be used only for authorized marketplace purposes. Sellers may not attempt to identify users from de-identified demand data or use BoxedBots data to spam, harass or circumvent marketplace rules.
13. Disputes and law
Before formal proceedings, the parties will attempt good-faith informal resolution for 30 days. Except where otherwise required by law or separately agreed, this Agreement is governed by Michigan law, and disputes not resolved informally may be subject to individual arbitration under applicable commercial rules. Emergency relief concerning intellectual property, security or misuse of confidential information may be sought in a court of competent jurisdiction.
14. Changes
BoxedBots may update this Agreement prospectively. Material changes affecting existing sellers will be communicated with reasonable notice. Continued selling after the effective date may constitute acceptance where permitted by law; BoxedBots may require affirmative re-acceptance.
15. Entire agreement
This Seller Agreement, the Terms of Service, Privacy Policy, Refund & Marketplace Policy, applicable fee schedule and any signed addendum form the agreement between the seller and BoxedBots regarding marketplace participation.
